Subject to and without limiting the terms of your obligations under any legally binding contract about the subject matter hereof (“Service Agreement”) between Tactive and you, or between Tactive and your employer (the “Client”), by using the website or any mobile application operated by Tactive, including any programs, tools, applications or other services contained therein (collectively the “Services”), you agree to each of the terms of use set forth herein, including any additional terms and conditions applicable to specific areas or content on/in the Services (“Terms of Use”), our Privacy Policy, and any other legal notices published by us on the website
Tactive reserves the right to modify these Terms of Use at any time without notice to you. Your continued use of the Services after any such changes constitutes your agreement to follow and be bound by these Terms of Use as modified.
1. Content Use
1.1 Free Content
You are authorized to use the Services, including but not limited to texts, graphics, data, images, illustrations, logos, audio or video clips, photographs, and other forms of work (individually or collectively referred to as "Free Content"), strictly for your own or your organization's internal informational needs. You commit to preserving all copyright, trademark, and other proprietary notices associated with the Free Content. Unauthorized activities, such as copying, broadcasting, reproducing, publicly presenting, distributing, modifying, transmitting, or generating derivative works from any Free Content or segments or excerpts thereof, are prohibited unless explicitly allowed in writing by Tactive or as directly permitted under these Terms of Use.
You and your organization are not permitted to use any Free Content or portions thereof to advertise your own or your organization's goods or services. Referencing the Free Content externally is not allowed without explicit written consent from Tactive.
The Services and all associated Free Content are safeguarded by copyright laws and agreements, both within Canada and internationally, and are the property of Tactive, its licensors, or external parties. You do not acquire any ownership rights to any of the Free Content.
You commit to utilizing the Services and its Free Content in compliance with all relevant laws. You also agree to refrain from any actions that might jeopardize the Services' security or make it unavailable to other users.
1.2 Subscription Content
Access to content available through the Services ("Subscription Content") is limited to Tactive Clients who subscribe to the Services (collectively, “Users”) by creating an account using a unique email address and password combination of their choice (referred to as “Subscription Credentials”). Users are unauthorized to access any Subscription Content unless they have subscribed using their own Subscription Credentials. Users are forbidden from using someone else's Subscription Credentials to access Subscription Content.
If you are a User, you must maintain the confidentiality of your Subscription Credentials. You agree not to disclose your Subscription Credentials to any other person or allow any other person to use your account to access the Services or the Subscription Content. Additionally, you agree not to copy, publicly display, perform, distribute, modify, transmit, create derivative works from, or otherwise share any Subscription Content with any other person or third parties, except as explicitly allowed in these Terms of Use or your Service Agreement. You are fully responsible for all activities conducted through your account and must immediately inform us if you discover that another person has accessed your account or obtained your subscription credentials. To safeguard the Services and your account's security, we reserve the right to monitor usage of the Services and to suspend access to any account exhibiting suspicious activity. Should your account be suspended, we will contact you to verify that your account has not been compromised before restoring your access.
2. Use of Interactive Services
For the benefit of all Clients, Tactive's Services enable Users to (i) contribute to the creation of research by sharing their perspectives for use in Tactive's Services and (ii) engage in industry-specific community groups and forums by posting discussions. All such contributions are made voluntarily with the User's full consent. If your account is utilized to contribute content to Tactive's Services ("User Contributions"), you agree to take full responsibility for those User Contributions, including the information, statements, facts, and materials in any form or medium (e.g., text, audio, video, photographic) included in them. When Users provide any feedback to Tactive (as User Contributions or in any other way), Tactive may use this feedback to evaluate, enhance, and promote its products. If Users contribute to research, Tactive may integrate these contributions into the Services without needing to provide attribution. You grant us and our affiliates a global, perpetual, royalty-free, non-exclusive license to use, replicate, create derivative works from, publicly display, and publish User Contributions. You agree not to assert any "moral rights" in User Contributions against us or our affiliates.
By engaging with Tactive's Services, you agree that your User Contributions will not:
- Violate the intellectual property, trade secret, privacy, publicity, or other rights of any party.
- Include false statements or misrepresentations that could harm Tactive or any third party.
- Contain obscene, slanderous, defamatory, threatening, harassing, abusive, hateful, sexually explicit or oriented, profane, or embarrassing content, as judged by Tactive at its sole discretion.
- Be illegal or otherwise unacceptable.
- Include personal information of third parties, such as addresses, phone numbers, email addresses, Social Security numbers, and credit card numbers.
- Promote or facilitate insider trading or anti-competitive practices.
- Feature commercial advertisements or solicitations.
- Purport to give, or actually give, legal or professional advice.
Given that Tactive's website is public, User Contributions on Tactive's website are not considered Confidential Information.
While the content you submit is entirely your responsibility, and we do not systematically scrutinize or monitor all User Contributions, we maintain the right to either pre-screen or monitor User Contributions. Should we discover User Contributions that contravene these Terms of Use or that we deem to be inappropriate, we reserve the right to either discard or delete them, or undertake additional actions, at our discretion and without prior notification to you.
Should you encounter any User Contributions that you believe infringe upon these Terms of Use, or if you notice another user partaking in unlawful, harassing, or offensive conduct, we encourage you to contact us.
3. Subscription
3.1. Subscription Term and Billing
Access to Subscription Content (the “Subscription”) is available on either a monthly or annual billing cycle, depending on the option selected at the time of enrollment. By subscribing, you agree to be billed under your chosen billing cycle—either monthly or annually—until the Subscription is cancelled in accordance with these Terms.
3.2. Subscription Renewal Policy
The Subscription is set to automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. If you do not wish to renew your Subscription, you must disable the automatic renewal option in your account management page before the end of your current billing cycle.
Failure to disable automatic renewal will result in the continuation of the Subscription under the same terms, and the payment method on file will be charged according to the selected billing cycle (monthly or annually).
3.3. Cancellation and Upgrades
You may cancel your Subscription at any time through your account management page. If the Subscription is billed monthly, your cancellation will take effect at the end of your current billing period, and no further charges will be applied.
If your Subscription is billed annually and you choose to cancel before the end of the billing period, you will continue to have access to the service until the end of the current term, but no refunds or partial reimbursements will be provided.
Upgrades to a higher-tier Subscription or switching from a monthly to an annual plan may be done at any time, with the updated pricing and billing cycle taking effect immediately or at the start of the next billing period, depending on the upgrade policy specified in your account settings.
3.4. Cancellation Process
To cancel your Subscription, use the cancellation option available in your account management page. Once the cancellation is processed, your Subscription will remain active until the end of the current billing period, after which, access to the service will be revoked. No additional charges will be applied following the effective cancellation date.
3.5 Payment Method and Validity
You must provide a valid payment method (such as a credit card, debit card, or an accepted digital payment method) to purchase a Subscription. Your payment method must remain valid and up to date for the duration of your Subscription to avoid interruptions in service.
If your payment method becomes invalid, expires, or is declined, you are responsible for updating your payment information immediately through your account management page. Failure to do so may result in temporary suspension of your Subscription until a valid payment method is provided.
If payment is declined on three billing attempts within a 10-day period, your Subscription may be suspended or cancelled. In the event of cancellation due to non-payment, access to the service will be revoked, and you may need to resubscribe to regain access.
We reserve the right to attempt reprocessing failed payments and to notify you via email or other communication methods regarding payment failures. If your Subscription is suspended due to non-payment, you will not be charged any additional fees beyond the outstanding balance already due.
4. Service Agreement Cancellation
A Service Agreement, once entered, cannot be terminated at will. A Client may terminate a Service Agreement under the following conditions:
- Tactive modifies or no longer provides Services; and
- Such modifications or cessation significantly impact the User's ability to utilize the Services; and
- The Client or User communicates to Tactive the significant impact caused; and
- Tactive is unable or unwilling to revert such modifications within 30 business days.
5. Service Updates and Agreement Amendments
Tactive may introduce updates, enhancements, or alterations to content, features, or other elements of its Services, or may discontinue certain aspects. Tactive ensures that no such changes will collectively reduce the quality of the Subscription content and related Services. Tactive also reserves the right to modify the terms and conditions governing the use of the Services, unless otherwise stipulated in a Service Agreement. Continued use of the Services following any such changes implies the User's acceptance of these changes. These terms were most recently updated on February 3, 2025.
6. Disclaimers
The information provided through the Services comes from sources deemed to be reliable, but Tactive does not guarantee the timeliness, completeness, or accuracy of any information provided within the Services. The purpose of the Services is to assist in identifying business risks, offer insights derived from industry research, and highlight issues that may impact your business. Tactive does not offer legal, accounting, or other professional advice, and any guidance received from Tactive should not be interpreted as such. We advise consulting with professional advisors as needed.
Tactive explicitly excludes and disclaims all express or implied warranties, including, but not limited to, any warranties of merchantability or fitness for a particular purpose, to the maximum extent permitted by law.
Tactive employs reasonable measures to check the Services for viruses, worms, Trojan horses, or other harmful code that could have harmful or destructive effects before making the Services accessible. However, Tactive cannot assure that the Services will be entirely free from such infections.
Clients bear the full responsibility of choosing the Services that meet their desired outcomes. The views presented in the Services are subject to modification without prior notice.
Tactive does not endorse any third-party products or services. Tactive evaluates and reviews the efficacy and suitability of information technology solely within the framework of a general business context unless specifically engaged by a Client to conduct assessments in the context of their specific environment.
7. Limitation of Liability
Under no circumstances shall Tactive be held liable for any special, indirect, consequential, incidental, or punitive damages, regardless of how they arise, whether from contract, tort, negligence, strict liability, legal operation, or otherwise. This includes but is not limited to, damages resulting from lost profits, business interruption, or losses stemming from the use of, or inability to use, the Services, or from any information made available through the Services, or from claims related to errors, omissions, or other inaccuracies in the Service or interpretations thereof. This limitation applies even if Tactive has been pre-informed about the potential for such damages. Tactive's total liability shall never exceed the amount paid by the Client for the specific Service in question.
Both User and Client recognize that Tactive has established its pricing and provided the Services contingent on the limitations of liability and the disclaimers of warranties and damages outlined herein, which are integral and crucial to the agreement between the parties. These stipulations shall remain in effect even if the contract between the Client and Tactive is deemed to have failed in its essential purpose or is found to be fundamentally breached.
8. Governing Law
This website and any service agreement shall be governed by the laws of the Province of Ontario, Canada, excluding any principles of conflicts of law and excluding the United Nations Convention on Contracts for the International Sale of Goods. Any legal proceedings against Tactive must be instituted in the courts of the Province of Ontario. The parties submit to the non-exclusive jurisdiction of the courts of Ontario.
9. Third-Party Content and External Sites
Tactive may include links to third-party content and external websites in the Services. These links do not imply our endorsement, sponsorship, or approval of such content. Tactive bears no responsibility for the material found through these links and does not oversee the content or privacy policies of any linked sites.
10. Agreement
These Standard Terms of Use, along with any service agreements and statements of work duly executed by the parties, constitute the full and sole agreement between the parties, overriding all terms and conditions of any purchase orders, understandings, proposals, negotiations, representations, or warranties, whether they are written or oral.
11. Privacy
Tactive holds a Client’s right to privacy in the highest regard. For further details, please refer to our Privacy Policy. The identity of our research clients is not deemed to be personal or confidential information, and we reserve the right to disclose such information for promotional and marketing purposes.
